O Supremo Tribunal Federal retomar\u00e1, entre 6 e 13 de junho, o julgamento que discute a possibilidade de tributa\u00e7\u00e3o, no Brasil, do lucro de controladas e coligadas no exterior. O placar do caso est\u00e1 em 2X1 pela possibilidade de incid\u00eancia do IRPJ e da CSLL, e dever\u00e1 ser retomado com o voto-vista do ministro Nunes Marques.<\/p>\n\n\n\n

O tema n\u00e3o tem repercuss\u00e3o geral reconhecida, ou seja, a sua observ\u00e2ncia n\u00e3o \u00e9 obrigat\u00f3ria pelas demais inst\u00e2ncias do Judici\u00e1rio ou pela esfera administrativa. Entretanto, o governo acompanha o caso de perto. A Receita calcula um risco fiscal de R$ 22 bilh\u00f5es em caso de derrota, por\u00e9m fontes pr\u00f3ximas ao tema estimam que o impacto possa ser maior. Isso porque um resultado favor\u00e1vel \u00e0 Vale, a depender da reda\u00e7\u00e3o, pode abrir espa\u00e7o para que a companhia tente recuperar R$ 32 bilh\u00f5es relacionados \u00e0 tese que foram parcelados pela estatal.<\/p>\n\n\n\n

No processo no STF, a Vale tenta afastar a incid\u00eancia do Imposto de Renda Pessoa Jur\u00eddica (IRPJ) e da Contribui\u00e7\u00e3o Social sobre Lucro L\u00edquido (CSLL) sobre o resultado de coligadas e controladas da empresa na B\u00e9lgica, na Dinamarca e em Luxemburgo. A medida, na vis\u00e3o da mineradora, evitaria a dupla tributa\u00e7\u00e3o.<\/p>\n\n\n\n

O relator, ministro Andr\u00e9 Mendon\u00e7a, votou de forma favor\u00e1vel aos contribuintes, afastando a tributa\u00e7\u00e3o. Divergiu o ministro Gilmar Mendes, que foi acompanhado por Alexandre de Moraes.<\/p>\n\n\n\n

Para Mendon\u00e7a, afastar os efeitos previstos no artigo 7\u00ba do modelo de conven\u00e7\u00e3o da OCDE pode frustrar os contribuintes que estruturaram suas opera\u00e7\u00f5es a partir da legisla\u00e7\u00e3o e da interpreta\u00e7\u00e3o sobre ela vigentes. O dispositivo prev\u00ea que o residente de um pa\u00eds que mant\u00e9m estabelecimento no exterior est\u00e1 sujeito \u00e0 tributa\u00e7\u00e3o de acordo com a legisla\u00e7\u00e3o do pa\u00eds em que o estabelecimento se encontra.<\/p>\n\n\n\n

\u201cO Brasil possui tratados internacionais com esses tr\u00eas pa\u00edses, datados dos anos de 1970, que preveem o bloqueio da tributa\u00e7\u00e3o da renda pelo pa\u00eds da fonte, quando a companhia possuir um estabelecimento permanente no outro pa\u00eds contratante. S\u00e3o acordos bilaterais feitos nos termos das Conven\u00e7\u00f5es-Modelo da ONU e da OCDE, que, expressamente, visam evitar a bitributa\u00e7\u00e3o\u201d, afirma o relator em refer\u00eancia aos tratados com a B\u00e9lgica, Dinamarca e Luxemburgo.<\/p>\n\n\n\n

J\u00e1 o ministro Gilmar Mendes defendeu que a discuss\u00e3o n\u00e3o envolve a interpreta\u00e7\u00e3o ou aplica\u00e7\u00e3o de tratados internacionais, porque eles n\u00e3o se aplicariam ao caso espec\u00edfico, j\u00e1 que o IRPJ e a CSLL s\u00e3o cobrados sobre a renda da empresa brasileira, n\u00e3o da subsidi\u00e1ria estrangeira. \u201cO aspecto central est\u00e1 na considera\u00e7\u00e3o de que o acr\u00e9scimo patrimonial positivo, decorrente da apura\u00e7\u00e3o dos lucros no exterior, \u00e9 experimentado imediatamente pela sociedade controladora ou coligada, no Brasil, mesmo antes da distribui\u00e7\u00e3o dos lucros\u201d, disse em seu voto.<\/p>\n\n\n\n

Despite being part of the issue before the Supreme Federal Court (STF), Vale has been taxing the profits of its subsidiaries in Brazil as if there were no treaties to avoid double taxation. The amounts related to the company's lawsuits on this matter, including the one discussed in the STF, were included in a tax amnesty program. On the other hand, other companies continue not to tax the profits of their subsidiaries and affiliates based on the treaties, and receive recurring tax assessments. This is the case with Petrobras, which has considerable litigation related to the issue.<\/p>\n\n\n\n
